App Terms of Use

1. Acceptance of Terms

By downloading, installing, or using WellAudio, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, do not download or use the app. These terms constitute a legally binding agreement between you and WellAudio.

2. Eligibility

You must be at least 13 years of age to use WellAudio. By using the app you represent that you meet this requirement. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these terms on your behalf.

3. Subscription & Payment

Access to WellAudio's full content library requires a paid subscription. Subscriptions are processed exclusively through the Apple App Store (iOS) or Google Play Store (Android). All billing, refunds, and payment disputes are governed by the applicable platform's terms and policies — WellAudio does not process payments directly.

Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before the renewal date. You can manage or cancel your subscription at any time via Settings → Subscription → Manage on App Store (or Google Play).

4. Free Trial

New eligible users may receive a free trial period as described at sign-up. At the end of the trial, your subscription will automatically convert to a paid plan and your payment method will be charged unless you cancel before the trial ends. Trial eligibility is determined by Apple or Google and may not be available to users who have previously subscribed.

5. Free Tier & Preview Content

WellAudio offers a limited number of sessions at no cost ("Free Sessions") that are accessible without a subscription. Free Sessions are subject to change at our discretion. All other content requires an active subscription.

6. Licence to Use

Subject to these terms, WellAudio grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the app and its content solely for your personal, non-commercial wellness purposes.

This licence does not include the right to: sublicense, sell, or transfer your access; reproduce, distribute, or publicly perform any content; reverse engineer or attempt to extract source code from the app; or use the app to build a competing product or service.

7. Audio Content & Downloads

All audio content within WellAudio is proprietary and protected by copyright. You may not record, capture, redistribute, upload, or use WellAudio audio outside of the app by any means.

Downloading sessions is permitted for offline personal use only. Downloaded content remains subject to these terms. If your subscription lapses, downloaded sessions will become inaccessible within the app. Deleting the app removes all downloaded files from your device.

8. App Updates

WellAudio may deliver updates to the app over the internet (including over-the-air updates via Expo) without requiring a new App Store download. These updates may add features, fix bugs, or change existing functionality. Continued use of the app following an update constitutes acceptance of any revised terms associated with that update.

9. User Conduct

You agree not to:

• Reverse engineer, decompile, or disassemble any part of the app. • Circumvent or attempt to circumvent subscription or access restrictions, authentication systems, or rate-limiting measures. • Access or attempt to access premium content without a valid subscription. • Access or attempt to access another user's account or data. • Use the app for any unlawful, harmful, or fraudulent purpose. • Transmit any malicious code, spam, or unsolicited communications via the app. • Submit automated or scripted requests to any part of the service. • Misrepresent your identity or affiliation when contacting support. • Use automated tools to scrape, crawl, or access any part of the service.

Accounts found to be in violation of these restrictions may be suspended or permanently terminated without notice.

10. Health & Medical Disclaimer

WellAudio is designed for general relaxation, focus, and wellness purposes only. The app and its audio content are not medical devices, do not constitute medical advice, and are not a substitute for professional medical diagnosis, treatment, or care.

Do not use WellAudio while driving, operating heavy machinery, or in any situation where reduced attention could cause harm. If you experience discomfort, dizziness, or adverse reactions while using the app, stop immediately and consult a healthcare professional.

If you have a history of seizures, epilepsy, or other neurological conditions, consult your doctor before using binaural or brainwave audio content.

11. Intellectual Property

All content in WellAudio — including audio sessions, artwork, text, branding, and software code — is owned by or licensed to WellAudio and is protected by copyright, trademark, and other intellectual property laws. Nothing in these terms transfers any ownership rights to you.

12. User-Submitted Content

When you submit feedback or support messages through the app, you grant WellAudio a non-exclusive, royalty-free licence to use that content for the purpose of responding to your request and improving the service. We will not publish your feedback publicly without your consent.

13. Disclaimer of Warranties

WellAudio is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the app will be uninterrupted, error-free, or free of viruses or other harmful components.

14. Limitation of Liability

To the fullest extent permitted by applicable law, WellAudio and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, loss of revenue, or personal injury — arising from your use of or inability to use the app, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under these terms shall not exceed the amount you paid to WellAudio in the 12 months preceding the claim.

15. Termination

We reserve the right to suspend or permanently terminate your access to WellAudio at our sole discretion, with or without notice, for violations of these terms, fraudulent activity, or any other reason. Upon termination, your licence to use the app immediately ends. Provisions that by their nature should survive termination (including intellectual property, disclaimer, and liability sections) will do so.

16. Governing Law & Disputes

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law provisions. Any dispute arising from these terms or your use of WellAudio shall be resolved by binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property infringement or unauthorised access claims.

17. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes via in-app notice or email at least 14 days before the changes take effect. Your continued use of WellAudio after the effective date constitutes acceptance of the revised terms.
